Terms of Service

1 Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

2 Use of the Services

We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes. You agree not to:

• Use the Services in violation of any law or third-party rights;
• Reverse engineer, copy, resell or sublicense the Services except as permitted by law;
• Interfere with or disrupt the integrity or performance of the Services;
• Attempt to gain unauthorized access to any systems or data; or
• Upload malicious code or use the Services to send spam or unlawful content.

3 Your Data and Content

You retain ownership of the data and content you submit to the Services ("Customer Data"). You grant us a worldwide license to host, process and transmit Customer Data solely to provide and improve the Services. You are responsible for the accuracy and legality of Customer Data and for obtaining any consents needed to enter member or client information. Our handling of personal data is described in our Privacy Policy.

4 Subscriptions, Fees & Billing

• Paid plans are billed in advance on a recurring basis according to the plan you select.
• Subscriptions renew automatically unless cancelled before the end of the current term.
• Fees are non-refundable except where required by law or expressly stated.
• We may change pricing on renewal with reasonable advance notice.
• You are responsible for any applicable taxes.

5 Intellectual Property

The Services, including all software, design, text and trademarks, are owned by Gymilo or its licensors and are protected by intellectual property laws. Except for the limited rights granted in these Terms, no rights are transferred to you. Any feedback you provide may be used by us without restriction or obligation.

6 Third-Party Services

The Services may integrate with third-party products, such as payment processors and messaging providers. Your use of those services is governed by their own terms, and we are not responsible for them. We may suspend integrations that are no longer available.

7 Availability & Support

We work to keep the Services available and reliable, but we do not guarantee uninterrupted access. We may modify, suspend or discontinue features, and perform maintenance that temporarily affects availability. We will use reasonable efforts to provide support to paying customers.

8 Suspension & Termination

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Services in a way that creates risk or legal exposure. Upon termination, your right to use the Services ends, and we may delete Customer Data after a reasonable retention period.

9 Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be error-free or uninterrupted.

10 Limitation of Liability

To the maximum extent permitted by law, Gymilo will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Services will not exceed the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim.

11 Indemnification

You agree to indemnify and hold harmless Gymilo and its officers, employees and agents from any claims, damages and expenses arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

12 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

13 Governing Law

These Terms are governed by the laws applicable at Gymilo's principal place of business, without regard to conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the courts located there, except where prohibited by local law.
